Service Level Agreement

This Service Level Agreement ("SLA") is entered into between MishraVerse ("Service Provider"), a freelance portfolio services business operating under the trade name MishraVerse, based in Lucknow, Uttar Pradesh, India, and the Client — any individual or entity purchasing portfolio creation or management services from MishraVerse.

This Agreement becomes effective upon the Client's payment of the advance fee or written acceptance of a project proposal, whichever occurs first.

Who We Serve
MishraVerse serves professionals across all industries — doctors, lawyers, Chartered Accountants, teachers, artists, photographers, chefs, coaches, business owners, entrepreneurs, and any individual seeking a professional online portfolio presence.
1.0Scope of Services

MishraVerse provides the following portfolio services. The exact scope shall be agreed upon in a written project brief or plan selection prior to commencement:

Services not listed above constitute out-of-scope work and will be quoted separately before execution.

2.0Delivery Timelines & Milestones

All timelines commence from the date MishraVerse receives the advance payment AND all required Client materials (photos, content, brand assets). Timelines are estimates and may vary based on complexity and Client responsiveness.

Day 0 — Kickoff
Advance payment received. Project brief confirmed. Content checklist shared with Client.
Day 1–3 — Discovery
Client materials reviewed. Structure and layout wireframe prepared.
Day 4–7 — Design Draft
First design concept shared with Client. Feedback required within 48 hours.
Day 8–14 — Development
Full development and content integration. Revisions incorporated.
Day 15 — Final Delivery
Completed website delivered for Client review. Balance payment due within 3 business days.
Day 18 — Live Launch
Domain configured and site goes live upon full payment clearance.

Estimated timelines by plan: Starter: 7–10 days | Pro: 10–15 days | Studio: 15–21 days | Agency: 21–30 days

Client Delay Clause
Delays caused by the Client — including late submission of materials, delayed feedback, or non-payment — shall extend timelines accordingly. MishraVerse shall not be held liable for such delays.
3.0Payment Terms

All payments are in Indian Rupees (INR) via UPI or direct bank transfer only. No cash, international transfer, or third-party payment accepted. UPI/bank details will be shared in the official project proposal only.

Late Payment Policy
Balance not received within 7 business days of final delivery results in the website being taken offline. A late fee of ₹500/week may apply from Day 8. Reinstatement requires full outstanding dues plus a ₹299 reinstatement fee.

All prices are exclusive of applicable taxes (GST). If GST applies, it will be stated clearly on the invoice.

4.0Revisions & Amendments
  • Starter Plan: 2 revision rounds
  • Pro Plan: 3 revision rounds
  • Studio Plan: 4 revision rounds
  • Agency Plan: Unlimited revisions within agreed scope

A "revision" covers minor changes — text edits, colour adjustments, image swaps, or layout tweaks within the agreed design. Structural redesigns, concept changes, or addition of new sections constitute a scope change and will be quoted separately.

How to Submit Revisions
All revision requests must be in writing via WhatsApp or email. Verbal requests will not be actioned. Submit all revision points together as one consolidated batch per round.
5.0Intellectual Property & Ownership

Upon receipt of full and final payment, the Client receives full ownership of the delivered portfolio website and all custom content created for the project.

  • MishraVerse retains the right to display completed work in its own promotional portfolio unless the Client requests otherwise in writing.
  • Third-party assets (stock images, icon libraries, fonts) are subject to their respective licences. Only legally licenced assets are used.
  • Content, logos, and materials submitted by the Client remain the Client's property. The Client warrants they hold full rights to all submitted materials.
  • MishraVerse is not liable for copyright infringement arising from Client-submitted materials.
6.0Termination of Agreement

Either party may terminate with 15 days' written notice. Conditions:

  • Before work begins (Client-initiated): Full advance refund less any domain/hosting costs already incurred.
  • After work has begun (Client-initiated): Advance is non-refundable. Proportionate fee for completed work may apply.
  • MishraVerse-initiated termination: Full advance refund issued. Completed deliverables handed over.
  • Management plan cancellation: 15 days' notice required. No refund for the current billing month.

Terms & Conditions

These Terms and Conditions ("Terms") govern all services provided by MishraVerse. By engaging our services — through payment, written agreement, or direct communication — the Client agrees to be bound by these Terms in full.

These Terms are governed by the laws of India, including the Information Technology Act 2000, Indian Contract Act 1872, and the Consumer Protection Act 2019.

1.0Eligibility & Acceptance
  • Services are available to individuals aged 18 and above, and to legally constituted business entities.
  • Clients below 18 may avail services only with written consent from a parent or legal guardian.
  • MishraVerse reserves the right to refuse service to any party without obligation to provide a reason.
  • By paying the advance or signing a project proposal, the Client confirms acceptance of these Terms.
  • These Terms apply regardless of profession — doctors, lawyers, CAs, educators, artists, chefs, coaches, entrepreneurs, or any other individual or entity.
2.0Client Obligations

The Client agrees to:

  • Provide all required content, assets, and information within 5 business days of project kickoff, unless an extension is mutually agreed in writing.
  • Ensure all submitted materials are accurate, owned by the Client, and legally permissible for online publication.
  • Review deliverables and provide consolidated written feedback within 48 hours of each milestone.
  • Not engage any third party to copy or replicate MishraVerse's deliverables during the active project.
  • Maintain civil and professional communication throughout the engagement.
  • Not request services that violate applicable law, promote misinformation, or misrepresent professional qualifications.
Regulated Professionals — Important
Clients who are regulated professionals (doctors, lawyers, CAs, etc.) are solely responsible for ensuring their portfolio content complies with regulations of their respective councils (MCI, Bar Council, ICAI, etc.). MishraVerse creates the platform — the Client owns responsibility for content accuracy and regulatory compliance.
3.0Refund & Cancellation Policy
7-Day Satisfaction Guarantee — How It Works
If the final portfolio does not match the agreed brief and revisions cannot resolve the issue, the Client may claim a refund within 7 calendar days of delivery. The refund amount will be: total paid minus (a) GST/taxes already deposited with the government, (b) third-party costs such as domain registration, hosting, or licenced assets, and (c) a proportionate fee for work completed. The refund claim must be submitted in writing with specific documented reasons.
Refunds Will NOT Be Issued When
The Client approved the design and later changed their mind; delay or quality issue was caused by the Client's own late submission or feedback; the Client requested features outside agreed scope; or the refund is requested after 7 calendar days from delivery.
4.0Limitation of Liability
  • MishraVerse's total liability shall not exceed the total fees paid by the Client for the specific project or service in dispute.
  • MishraVerse is not liable for indirect, incidental, or consequential damages including loss of business, revenue, or reputation.
  • MishraVerse is not liable for third-party service outages (hosting providers, domain registrars, analytics platforms).
  • MishraVerse does not guarantee specific search engine rankings, client enquiry volumes, or business outcomes from the portfolio.
  • The Client is solely responsible for any professional, legal, or ethical consequences from content published on their portfolio.
5.0Dispute Resolution & Governing Law
  • Step 1 — Direct Resolution: Raise the issue in writing. MishraVerse shall respond within 5 business days.
  • Step 2 — Mediation: If unresolved within 15 days, both parties agree to attempt resolution through a mutually agreed mediator.
  • Step 3 — Legal Recourse: If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.

These Terms are governed by Indian law. Clients may also avail remedies under the Consumer Protection Act 2019 through the appropriate Consumer Forum.

6.0General Provisions
  • Amendments: MishraVerse may update these Terms at any time with notice. Continued use of services constitutes acceptance.
  • Severability: If any clause is found invalid, the remaining provisions continue in full effect.
  • Entire Agreement: These Terms, together with the SLA and any project-specific proposal, form the entire agreement between parties.
  • Force Majeure: MishraVerse is not liable for delays due to circumstances beyond reasonable control — natural disasters, government actions, internet outages, or health emergencies.
  • Language: In case of ambiguity, the English version of this document shall prevail.

Privacy Policy

MishraVerse ("we", "us", "our") is committed to protecting the privacy and personal data of all Clients. This Privacy Policy explains what information we collect, how we use it, and the rights available to you.

This Policy is compliant with the IT (Reasonable Security Practices) Rules, 2011 under the IT Act 2000, and aligned with the Digital Personal Data Protection Act, 2023 (India).

Our Core Commitment
We do not sell, rent, or trade your personal information to any third party. Your data is used solely to deliver and improve our services to you.
1.0Information We Collect

We do not collect sensitive data such as government ID numbers, passwords, biometrics, financial credentials, or medical records unless explicitly required for specific portfolio content and with written Client consent.

2.0How We Use Your Information
  • To design, develop, and deliver the portfolio as per the agreed scope
  • To communicate project updates, revisions, and deliverables
  • To generate invoices and process payments
  • To provide ongoing management and maintenance services
  • To display completed work in MishraVerse's own promotional portfolio (with Client consent — opt-out available)
  • To improve service quality based on aggregated, anonymised feedback
  • To comply with legal obligations and respond to lawful requests from authorities

We do not use your data for advertising, profiling, or sale to any third party.

3.0Data Sharing & Third Parties

Data is shared only with these categories of third parties, strictly for service delivery:

  • Hosting Providers: Portfolio hosted on a third-party server (Netlify, Vercel, or similar). These providers have their own privacy policies.
  • Domain Registrars: Domain registration details held by the registrar (GoDaddy, Namecheap, etc.). WHOIS privacy protection can be enabled on request.
  • Analytics: Google Analytics collects anonymised visitor data. No personally identifiable visitor information is tracked.
  • Legal Authorities: Information may be disclosed if required by law or a valid court order.

All design and development work is performed directly by MishraVerse. No sub-contractors are used currently.

4.0Your Data Rights
  • Right to Access: Request a copy of all personal information we hold about you.
  • Right to Correction: Request correction of inaccurate or outdated information.
  • Right to Deletion: Request deletion of your data after services are complete and the retention period (3 years from last transaction) has passed.
  • Right to Portability: Request your data in a readable format (PDF or CSV) for transfer to another provider.
  • Right to Withdraw Consent: Withdraw consent for your portfolio to be shown in MishraVerse's promotional materials at any time, in writing.
  • Right to Complain: Lodge a complaint with the relevant data protection authority in India.

To exercise any of these rights, contact us in writing. We will respond within 15 business days.

5.0Data Security & Retention
  • All Client files and communication records are stored securely, accessible by MishraVerse only.
  • Project files are stored in password-protected cloud storage (Google Drive or equivalent).
  • Payment transaction details are not stored digitally — only the UPI reference number is noted for records.
  • Data is retained for 3 years from the date of last transaction, after which it is securely deleted unless law requires longer retention.
  • In the event of a data breach affecting Client information, MishraVerse shall notify the affected Client within 72 hours of becoming aware.
Inherent Risk Acknowledgement
While MishraVerse takes reasonable security measures, no method of electronic storage or transmission is 100% secure. By using our services, the Client acknowledges this inherent risk.
